1. Parties & Acceptance

These Terms of Use ("Terms") govern your access to and use of the Aventus creator onboarding portal and the marketing services provided by Aventus Digital Media Ltd ("Aventus", "we", "our"). By creating an account, ticking the box marked "I have read and agree", or otherwise using the portal, you ("Creator", "you") accept these Terms.

2. Eligibility & Accounts

• You must be at least 18 years old and legally able to enter a binding contract in your jurisdiction.
• You will be required to complete identity verification via our third-party provider (Didit) before access is granted to the portal beyond Terms acceptance.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• We may refuse, suspend, or terminate accounts for policy, legal, or security reasons.

3. The Service

• The "Service" comprises (a) this online onboarding portal and (b) the marketing services that Aventus separately agrees to provide to you under a written services agreement or quoted scope of work.
• The portal is used to collect your identity, contact, social, work-preference, billing, and tax information, and to record your acceptance of these Terms.
• The portal does not host, store, or distribute any user-generated media (images, video, audio). No upload functionality is provided.
• Marketing services scope, deliverables, timelines, and fees are agreed separately on a per-Creator basis and confirmed in your Creator card within the Aventus admin system.

4. Identity Verification

• Identity verification is conducted via Didit, a third-party identity provider. You will be required to upload a government-issued photo ID and complete a live selfie check.
• Didit processes biometric and identity data on Aventus' behalf. Didit's privacy policy applies to that processing; see didit.me.
• Aventus stores only the result of verification (pass/fail), the extracted name and date of birth, the document type, and a reference identifier. Full ID document images are retained by Didit, not Aventus.
• Verification records are retained for a minimum of six (6) years to comply with UK regulatory and tax obligations.

5. Fees & Invoicing

• Aventus provides marketing services on a paid basis. Fees are agreed individually with each Creator and recorded in your Creator card.
• Invoices are generated and sent by Aventus on a weekly cadence (or such other cadence as agreed) via our invoicing system, with payment collected through Stripe payment links.
• Payment terms default to net 7 days from invoice date unless otherwise agreed in writing.
• Aventus Digital Media Ltd is not currently registered for UK VAT. If and when registration occurs, VAT will be added to invoices at the applicable rate and you will be notified.
• Late payment may incur interest at the Bank of England base rate plus 8% per annum in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.

6. Your Information & Data Protection

• You confirm that the information you provide during onboarding is true, accurate, and up to date, and you will notify us of any material changes.
• We process your personal data in accordance with UK GDPR and the Data Protection Act 2018. Aventus Digital Media Ltd is the data controller.
• Categories of personal data processed include: name, date of birth, contact details, address, identity document metadata (via Didit), social handles, billing and tax information, emergency contact, and records of Terms acceptance.
• Lawful bases relied upon: performance of a contract (Article 6(1)(b)), compliance with a legal obligation (Article 6(1)(c)), and legitimate interests (Article 6(1)(f)).
• You have rights of access, rectification, erasure, restriction, portability, and objection. To exercise any right, contact info@aventusconsulting.co.uk.
• Retention: account data is retained while your account is active and for six (6) years thereafter for tax and regulatory purposes, after which it is deleted or anonymised.

7. Prohibited Conduct

You may not use the portal for any unlawful, harmful, or abusive purpose, including:

• Providing false, misleading, or stolen identity information.
• Impersonating another person, organisation, or legal entity.
• Attempting to bypass authentication, probe infrastructure, interfere with networks, or overload the Service.
• Introducing malware, spyware, or code designed to disrupt systems, steal data, or gain unauthorised access.
• Harassment, hate speech, threats, or incitement of violence directed at Aventus staff or other creators.

8. Availability & Changes

• The portal may change, be suspended, or be discontinued at any time, with reasonable notice where practicable.
• We may update these Terms for operational, legal, or security reasons. Material changes will be notified by email. Continued use of the portal after notification indicates acceptance of the updated Terms.

9. Third-Party Services

The portal relies on third-party providers, including Google Firebase (hosting, authentication, database), Didit (identity verification), Invoice Ninja (invoicing), and Stripe (payment processing). Their terms and privacy practices apply to their respective services. Aventus is not responsible for third-party outages or acts beyond our reasonable control.

10. Warranties

The portal is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Aventus disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. This clause does not affect any warranties or representations given in a separate signed services agreement.

11. Liability

To the fullest extent permitted by law, Aventus' total aggregate liability arising out of or in connection with use of the portal is limited to GBP 100 or the total fees paid by the Creator in the preceding three (3) months, whichever is greater. This does not limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be limited or excluded.

12. Indemnity

You agree to indemnify Aventus against claims and costs arising from (a) false or misleading information you provide, (b) your breach of these Terms, or (c) your unlawful conduct.

13. Suspension & Termination

We may suspend or terminate your access immediately for policy violations, legal requirements, security risks, or non-payment of fees. You may close your account at any time by contacting info@aventusconsulting.co.uk. Termination does not affect any accrued rights or obligations.

14. Consumer Rights

If you are a consumer in the UK or EU, nothing in these Terms limits your mandatory consumer rights. Where local consumer law provides additional protections, those protections prevail to the extent of any conflict.

15. Intellectual Property

The Aventus name, logo, and all portal software, design, and content are owned by Aventus Digital Media Ltd or its licensors. You receive no right or licence in respect of those assets except to use the portal for its intended purpose.

16. Security

We implement reasonable technical and organisational measures appropriate to the risk, including encryption in transit, role-based access controls, and audit logging. No system is perfectly secure; you should choose a strong unique password and enable any multi-factor authentication options offered.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers resident in the EU or UK may bring claims in their home courts where mandatory law requires.

19. Miscellaneous

• If any provision is held invalid, the remainder remains in effect.
• Failure to enforce a provision is not a waiver.
• These Terms, together with any separate signed services agreement, constitute the entire agreement between Aventus and the Creator regarding the portal.
• You may not assign these Terms without our consent; we may assign as part of a reorganisation or business transfer.
